§ 1 Scope and provider
(1) These General Terms and Conditions apply to all contracts that you conclude with us via the online shop vollversion-software.de:
Allwarehouse24 GmbH
Papenreye 63
22453 Hamburg
Telephone: 040 524797319 (Mon–Fri 10:00–19:00 German time)
Email: support@vollversion-software.de
(2) Our offer is aimed at consumers and traders. A consumer is any natural person who enters into a legal transaction for purposes that can predominantly be attributed neither to their commercial activity nor to their self-employed professional activity (section 13 of the German Civil Code, BGB). A trader is a natural or legal person or a partnership with legal capacity who, when concluding the legal transaction, acts in the exercise of their commercial or self-employed professional activity (section 14 BGB). The provisions in § 15 also apply to traders and legal entities under public law.
(3) Deviating terms and conditions of the customer apply only if we expressly agree to them in writing.
§ 2 Conclusion of the contract and ordering process
(1) The presentation of the products in the online shop does not constitute a legally binding offer but an invitation to place an order.
(2) How to order:
- You add the products you want to the shopping basket. In the basket, you can change quantities and remove products.
- You log in, create a customer account or order as a guest.
- You enter your billing address and, if applicable, your delivery address and choose the delivery and payment method.
- On the order summary page, you check all details. You can correct input errors at any time before completing the order using the ‘Change’ links or your browser’s back button.
- By clicking the ‘Buy now’ button, you submit a binding offer to purchase the products in the basket.
(3) Immediately after you submit your order, you will receive an acknowledgement of receipt by email. This does not yet constitute acceptance of your offer.
(4) The contract is concluded when we accept your offer:
- in the case of payment by credit card, PayPal, Klarna or another online payment method, upon completion of the payment process,
- in the case of bank transfer (prepayment), with the order confirmation containing our bank details,
- in the case of invoice purchase, when we approve the order (§ 15(4)),
but no later than when the products are made available or dispatched.
(5) If, in the case of bank transfer (prepayment) or an online payment method that provides for payment after the order has been completed, payment is not received within the period stated in the order confirmation or in a payment reminder, we are entitled to rescind the contract and cancel the order. We will inform you of the cancellation by email.
§ 3 Contract language and storage of the contract text
(1) The contract can be concluded in German or English. Orders placed in our English shop are concluded in English.
(2) We store the contract text. You will receive the order details with the order confirmation by email; you can access and print these General Terms and Conditions and the instructions on withdrawal on this page at any time. Your customer account shows your orders, invoices, product keys and downloads. You can transfer a guest order to a customer account later.
§ 4 Prices and delivery costs
(1) All prices are final prices and include statutory VAT. For approved business customers, we display net prices plus VAT (§ 15).
(2) We deliver digital products without delivery costs. Delivery costs apply to physical media (USB stick, DVD): Germany €5.99, Austria €8.99, Switzerland €12.49. You can see the delivery costs in the basket before completing your order and on the Delivery and payment page.
(3) Deliveries to Switzerland may incur customs duties, import VAT and carrier fees. These are borne by the customer.
§ 5 Payment
(1) You can see which payment methods are available during the ordering process. The selection depends, among other things, on the country of delivery, currency, device and customer group. We offer:
- Online payment methods via our payment service provider Stripe, e.g. credit card, PayPal, Klarna, Apple Pay and Google Pay. For Klarna, Klarna’s terms and conditions, which are shown to you during the payment process, also apply.
- Bank transfer (prepayment): You transfer the invoice amount to the account stated in the order confirmation. We deliver once payment has been received.
- Invoice purchase: for traders (business customers) only; we deliver after the order has been approved (§ 15).
- Billie (invoice purchase for businesses via Stripe): where displayed; Billie’s terms and conditions also apply.
(2) For online payment methods, the amount is charged or authorised upon completion of the order.
(3) We retain title to delivered physical media until payment has been made in full. We grant rights of use for software only upon payment in full (§ 8(3)).
§ 6 Delivery of digital products
(1) We provide digital products (product keys, downloads, licence transfers) by email to the address you have provided and in your customer account.
(2) Time of provision:
- for online payment methods, after successful payment, usually within a few minutes,
- for bank transfer (prepayment), after receipt of payment,
- for invoice purchase, after approval of the order (§ 15(4)).
You will usually receive licence transfer documents within 30 minutes of receipt of payment or approval.
(3) Please provide a valid email address and also check your spam folder. If you have a customer account, you can find the products there at any time.
§ 7 Delivery of physical media
(1) We deliver physical media to Germany, Austria and Switzerland.
(2) We state the delivery time on the product page, at checkout and on the Delivery and payment page. For bank transfer (prepayment), it begins upon receipt of payment; for invoice purchase, upon approval; otherwise, upon conclusion of the contract.
(3) You receive the product key and download by email and in your customer account, as with digital products (§ 6); in addition, the physical medium is sent by post.
§ 8 Rights of use for software
(1) Upon payment in full, you receive the non-exclusive right, unlimited in time, to use the software within the scope of the respective licence. For subscriptions (e.g. Microsoft 365 and antivirus software), the right of use applies for the term stated on the product page.
(2) The scope and conditions of use are set out in the product description and the manufacturer’s licence terms (e.g. number of devices or users, language, edition). For client access licences (CAL) and other licence transfers, the transfer document forms part of the delivery.
(3) We do not grant any rights of use until payment has been made in full. Passing the software on to third parties is only permitted insofar as the law or the licence terms allow it; in doing so, you must render your own copy unusable.
(4) We only sell licences that you are lawfully entitled to use. Registration with the manufacturer is only required if the software requests it during activation.
§ 9 Digital products and updates
(1) Sections 327 et seq. BGB apply to contracts with consumers for digital products.
(2) Updates (including security updates) are provided by the respective manufacturer. The version and range of functions supplied are set out in the product description. Information on the end of manufacturer support, where available, is given on the product page.
§ 10 Right of withdrawal
(1) Consumers have a statutory right of withdrawal. Details are set out in the instructions on withdrawal. You can also declare your withdrawal online using the ‘Withdraw from contract’ button at the bottom of every page (Withdraw from contract).
(2) For digital content not supplied on a tangible medium, the right of withdrawal expires if we have begun performance of the contract after
- you have expressly consented to our beginning performance of the contract before the withdrawal period expires,
- you have acknowledged that, by giving your consent, you lose your right of withdrawal once performance of the contract begins, and
- we have provided you with a confirmation of the contract on a durable medium (e.g. by email) in which your consent and acknowledgement are recorded.
(3) Traders do not have a statutory right of withdrawal.
§ 11 Statutory warranty rights
(1) The statutory warranty rights apply. For traders, § 15(8) also applies.
(2) If a product key cannot be activated, please contact us via our complaint form, by email or by telephone. This does not affect your statutory rights.
§ 12 Money-back guarantee
In addition to the statutory warranty rights, we provide a money-back guarantee for activation problems. The guarantor, scope, duration, territorial scope and procedure are set out in the guarantee terms on the 100% money-back guarantee page. The guarantee does not restrict your statutory rights; exercising them is free of charge.
§ 13 Liability
(1) We are liable without limitation in cases of intent and gross negligence, for injury to life, body or health, under the German Product Liability Act (Produkthaftungsgesetz) and to the extent of any guarantee we have given.
(2) In the event of a slightly negligent breach of an essential contractual obligation, liability is limited to the foreseeable damage typical of the contract. Essential contractual obligations are those whose fulfilment makes the proper performance of the contract possible in the first place and on whose observance you may regularly rely.
(3) Otherwise, liability for slight negligence is excluded.
(4) For loss of data, we are only liable to the extent of the loss that would have occurred if the customer had backed up data regularly and in a manner appropriate to the risk.
§ 14 Promotions and vouchers
(1) Promotional discounts and voucher codes are valid only during the stated period and on the conditions specified for the promotion (e.g. minimum order value, excluded products, single redemption).
(2) Discount codes also apply to sale prices. Excluded are Microsoft 365, antivirus software, Office for Mac, Office Home, Home & Student and Home & Business as well as saver offers, unless stated otherwise for the code. One discount code can be redeemed per order; it cannot be combined with other discount codes or the business customer discount. Otherwise, promotional discounts cannot be combined with other discounts unless stated otherwise. Vouchers are not redeemable for cash.
§ 15 Special terms for traders and the business customer programme
(1) Participation. Traders within the meaning of section 14 BGB, as well as legal entities under public law and special funds under public law, such as public authorities and schools, may participate in the business customer programme. Participation requires an application with proof (for example: Germany – trade register extract or business registration; Austria – company register extract or trade licence; Switzerland – commercial register extract; Ireland – Companies Registration Office (CRO) printout; Malta – Malta Business Registry certificate). There is no entitlement to approval.
(2) Tiers. Your tier is based on the net value of purchases paid for in the last 365 days:
- Business: from approval, 5% discount, payment term 14 days, invoice limit €1,000
- Business Plus: from €1,000, 7% discount, payment term 30 days, invoice limit €2,500
- Business Pro: from €5,000, 10% discount, payment term 30 days, invoice limit €5,000
- Business Premium: from €15,000, 15% discount, payment term 30 days, invoice limit €10,000
- Business Partner: from €30,000, 17% discount, payment term 30 days, invoice limit €20,000
Upgrades to a higher tier take place automatically, usually within one day. The tier discount is deducted automatically in the basket; promotional items may be excluded. We reserve the right to change tiers, discounts, payment terms and limits with effect for future orders.
(3) Invoice limit. The invoice limit caps the total of all outstanding invoice amounts. If an order together with your outstanding invoices exceeds the limit, we will not approve it automatically; we will review it and may require a different payment method.
(4) Approval of invoice orders. From the Business Pro tier, we approve invoice orders automatically if you are logged in, the order together with your outstanding invoices does not exceed your invoice limit, no invoice is overdue and invoice purchase has not been blocked for your account. We review all other invoice orders before approval, Monday to Friday from 10:00 to 19:00 German time; outside these hours, on the next working day. We do not provide the products until the order has been approved. We may reject an invoice order, request further proof or offer a different payment method. If you switch to a different payment method and payment is received, we will deliver immediately.
(5) Pending orders. If we do not receive requested proof or payment by a different payment method, we will remind you by email after 3 days. After 7 days with the status ‘Pending’, the order will be cancelled.
(6) Payment term and default. The payment term begins upon approval of the order; the due date is stated in the approval confirmation. Once the payment term has expired, you are in default without a reminder being required. In the event of default, we charge default interest of 9 percentage points above the basic rate of interest and the lump sum of €40 under section 288(5) BGB; we reserve the right to claim further damages.
(7) Blocking. In the event of default in payment, exceeding the limit or justified doubts about solvency, we may block invoice purchase for the customer account. Other payment methods remain available.
(8) Statutory warranty rights for traders. For traders, the limitation period for claims based on defects is 12 months from delivery; this does not apply to claims for damages under § 13(1). Merchants must inspect delivered physical media and product keys without undue delay in accordance with section 377 of the German Commercial Code (HGB) and notify any defects without undue delay.
(9) Set-off. Traders may only set off claims that are undisputed or have been established by a final court decision.
(10) No right of withdrawal. Traders have no statutory right of withdrawal.
(11) Place of jurisdiction. If the customer is a merchant, a legal entity under public law or a special fund under public law, the place of jurisdiction for all disputes arising from the contract is Hamburg.
§ 16 Dispute resolution
We are neither obliged nor willing to participate in dispute resolution proceedings before a consumer conciliation body.
§ 17 Final provisions
(1) The law of the Federal Republic of Germany applies, excluding the UN Convention on Contracts for the International Sale of Goods. For consumers, this choice of law applies only insofar as it does not deprive them of the protection afforded by mandatory provisions of the law of the state in which the consumer has their habitual residence.
(2) Should individual provisions of these General Terms and Conditions be invalid, the validity of the remaining provisions shall remain unaffected. The invalid provision shall be replaced by the statutory provisions.
